4. Intellectual Property

  • • A Business Associate Agreement (BAA) will be executed as required by HIPAA
  • • PHI will only be used or disclosed as permitted by HIPAA and the BAA
  • • All data shared with us will be treated as confidential information
  • • Any breach of confidentiality or security incident will be reported in accordance with HIPAA requirements and the BAA

6. Limitation of Liability

To the maximum extent permitted by law, Omega Medical Billing & Collection Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • • Your access to or use of or inability to access or use the services
  • • Any conduct or content of any third party on the services
  • • Any content obtained from the services
  • • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount you have paid to us for services in the twelve (12) months preceding the event giving rise to the liability, or one hundred dollars ($100) if you have not had any payment obligations to us.

7. Indemnification

You agree to defend, indemnify, and hold harmless Omega Medical Billing & Collection Services, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the services.

8. Third-Party Links

Our website may contain links to third-party websites or services that are not owned or controlled by Omega Medical Billing & Collection Services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. 9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use our services will immediately cease.

For clients with service agreements, termination will be governed by the terms specified in your individual service agreement, which typically includes provisions for notice periods, transition of services, and final billing arrangements.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
